These Wholesale (B2B) Terms & Conditions govern all wholesale purchases, reseller relationships, distributor agreements, club partnerships, academy partnerships, corporate orders, and business-to-business transactions with DosRaíces LLC (“DosRaíces,” “we,” “our,” or “us”).

2. Wholesale Eligibility
Wholesale accounts are available to approved businesses, retailers, clubs, academies, organizations, distributors, and qualified partners.
DosRaíces reserves the right to approve, reject, suspend, or terminate applications at its discretion.
3. Application Process
Prospective partners may be required to provide business registration documents, tax information, contact details, resale certificates where applicable, and other supporting information necessary to evaluate eligibility.
4. Minimum Order Requirements
DosRaíces may establish minimum order quantities (MOQs), minimum order values, or category-specific purchasing requirements.
These requirements may be updated periodically and communicated to approved partners.
5. Pricing
Wholesale pricing is confidential and provided exclusively to approved wholesale accounts.
Pricing may change without notice due to market conditions, production costs, tariffs, exchange rates, or other business factors.
6. Payment Terms
Unless otherwise agreed in writing, payment may be required in full before production or shipment.
Approved accounts may receive alternative payment terms subject to credit review and business relationship history.
7. Order Acceptance
Submission of a purchase order does not guarantee acceptance.
DosRaíces reserves the right to reject, modify, or cancel orders due to inventory limitations, production constraints, pricing errors, compliance concerns, or other business reasons.
8. Production & Delivery
Delivery estimates are provided in good faith but are not guaranteed.
Production schedules, international shipping conditions, customs processing, carrier delays, and supply chain disruptions may impact delivery timelines.
9. Shipping & Fulfillment
Orders may be fulfilled through DosRaíces facilities, third-party logistics providers, Amazon Multi-Channel Fulfillment (MCF), or approved fulfillment partners.
Shipping costs, duties, taxes, and customs fees may be the responsibility of the buyer unless otherwise agreed.
10. Returns & Claims
Wholesale orders are generally considered final sale unless products arrive damaged, defective, or materially inconsistent with the approved order.
Claims must be submitted within 7 days of delivery and include supporting documentation and photographs when applicable.
11. Intellectual Property
All DosRaíces trademarks, logos, monograms, designs, photography, marketing materials, and brand assets remain the exclusive property of DosRaíces LLC.
No ownership rights are transferred through wholesale purchases.
12. Brand Representation
Wholesale partners agree to represent the DosRaíces brand professionally and in a manner consistent with DosRaíces brand guidelines.
Unauthorized modifications, misleading marketing, or misuse of brand assets are prohibited.
13. Online Marketplaces
Wholesale partners may not sell DosRaíces products through unauthorized online marketplaces, auction websites, or third-party platforms without prior written approval from DosRaíces.
14. Territory & Distribution
DosRaíces may grant or deny territorial protections, exclusivity arrangements, or distribution rights at its sole discretion.
Any exclusivity must be documented in a separate written agreement.
15. Termination
DosRaíces reserves the right to suspend or terminate wholesale relationships for non-payment, policy violations, misuse of brand assets, unauthorized resale practices, fraudulent activity, or conduct inconsistent with DosRaíces values.
16. Limitation of Liability
To the fullest extent permitted by law, DosRaíces shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from wholesale transactions or business relationships.
17. Governing Law
These Terms & Conditions shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
18. Changes to These Terms
DosRaíces may modify these Terms & Conditions periodically.
Updated versions will be published with a revised effective date.
